ANS determines that Amil resumes portfolio transferred to APS

The ANS (National Supplementary Health Agency) announced this Monday (4) the adoption of a precautionary measure determining that the operator Amil resumes and remains responsible for the portfolio of individual plans transferred to the operator APS at the end of last year.

Since the beginning of the year, APS has been responsible for assisting the approximately 330 thousand beneficiaries of individual and family plans in São Paulo, Rio de Janeiro and Paraná who were transferred from Amil.

At the end of last year, Amil hired the bank BTG Pactual to find a buyer for its loss-making portfolio of individual and family health plans.

BTG arrived at Fiord Capital, an investment fund created last November. The fund would receive R$ 3 billion to take over the portfolio of 330 thousand users in the states of São Paulo, Rio de Janeiro and Paraná. Due to the operation designed for the change of control, APS, of the Amil group, would become responsible for individual and family health plans, a deal that was approved by the ANS.

But at the beginning of this year, APS passed to the command of Fiord — a move that was barred last month by the ANS, which claimed that there was no information about the change in corporate control.

In the statement released this Monday, the ANS highlights that, in the authorization request for the transfer of the portfolio from Amil to APS, Amil declared that the transfer of the portfolio would be a simple corporate reorganization between operators of the same economic group and declared that it itself it would guarantee any need for financial support necessary to maintain the economic-financial balance of the APS “while Amil and APS are part of the same economic group”.

However, what ANS found after examining the requested documentation is that, at the time of the authorization request, Amil had already defined the sale of APS shares, which would make the two companies no longer part of the same economic group. –”thus emptying the guarantee offered by Amil in favor of APS”, points out the regulatory agency.

Sought, Amil informed through its press office that it has not yet been officially communicated by the ANS and that it will wait for it to take a position.

The ANS also points out that Amil would already have knowledge of who would be the buyers of the shares representing the capital of APS, a fact that, according to the agency, was omitted by the company.

The ANS states that the “buyers of APS quotas do not have sufficient financial capacity to guarantee the economic-financial balance of the APS, so that the transaction examined exposes the continuity and quality of health care due to consumers linked to the portfolio at risk. transferred.”

Operators Amil and APS may submit a statement to the ANS within ten days. After that, ANS will definitively decide whether to cancel the authorization granted for the transfer of the portfolio and whether to adopt new measures in relation to Amil and APS.
