The current board was formed during the merger process between B2W and Lojas Americanas, forming Americanas. The names were indicated by the main shareholders of the company.

Trio of reference shareholders

Jorge Paulo Lemann

Richest man in Brazil. Economist, investor and billionaire businessman, he is one of the founders of Ambev and 3G Capital.

One of the controllers of Americanas since 1982, he became a member of the company’s board.

Despite living in Switzerland, his father’s land, he was born in Rio de Janeiro, in 1939. Lemann defends meritocracy and was one of those who instituted in the Brazilian financial market the culture of paying below-average wages with millionaire bonuses.

Alongside the partners of 3G Capital, he made millionaire agreements with the CVM (Securities and Exchange Commission) to close administrative proceedings. In one of them, the trio was accused of abusing control over Ambev to “increase its stake in the company to the detriment of minority shareholders”.

In 2021, he left the board of Kraft-Heinz, which is under the umbrella of 3G Capital and needed to make an accounting correction in 2019 after finding a millionaire error in financial statements.

Alongside Americanas administrators, he is the target of a CVM lawsuit that investigates the conduct of businessmen after the announcement of “accounting inconsistencies” that culminated in the request for judicial recovery this Thursday (19).

Carlos Alberto Veiga Sicupira

Known as Beto Sicupira, he is among the 200 richest men in the world and is an investment partner of Lemann and Marcel Telles at AB Inbev, the largest brewery in the world, and at 3G Capital.

He was chairman of the board of Americanas between 1983 and 1991 and still sits on the board. He played a fundamental role in recreating the retailer’s brand.

Marcel Herrmann telles

Founding partner of 3G Capital alongside Lemann and Sicupira, he is among the three richest people in Brazil. He was a director at Brahma, renovating the company’s structure and streamlining the payroll with measures such as cutting, in some cases by half, the retirement amount to which beneficiaries would be entitled by the brewery’s pension fund.

Born and lives in Rio de Janeiro, where he graduated in economics from UFRJ (Federal University of Rio de Janeiro).

ADMINISTRATIVE COUNCIL

Eduardo Saggioro Garcia

He took over as chairman of the board at Americanas when Carlos Alberto Sicupira resigned in 2020. Before that, he was a director of the company.

Graduated in production engineering from UFRJ and master’s degree in management engineering from the polytechnic of Turin, he is a founding partner of Visagio, a technology and management consulting company, and a partner of LTS Investments, which “represents the holding and investment office of Lemann, Telles and Sicupira families, as well as some of its longtime partners”, according to its LinkedIn profile.

He is also an effective member of the board of São Carlos Empreendimentos, which invests in and manages commercial real estate in Brazil.

In recent years, he served as a member of the board of directors of Casas Pedro, Equatorial Energia and CVC.

Claudio Moniz Barreto Garcia

Member of the Americanas group since May 2018. Member of the Board of Directors, President of the People & Sustainability Committee and member of the Digital & Customers Committee of Americanas SA

He started his career at Ambev, as an intern at Brahma with Marcel Telles. He served in various positions in finance, operations, and the technology and shared services directorate. At Anheuser-Busch Inbev he was director of people and technology and in 2019 he became a member of the board of AB Inbev. Co-founder of the Garcia Family Foundation, working in the areas of culture and education.

Paulo Alberto Lemann

Son of Jorge Paulo Lemann. Board member of Americanas since 2005, where he also serves as a financial specialist on the financial and People&Sustainability committees.

He worked at Andersen Consulting, Banco Marka and at Dynamo Asset. In 2005, he founded Pollux Capital. He is a member of the Board of AB Inbev.

Mauro Muratorio Not

Independent member of Americanas’ board and chairman of the company’s audit committee.

He started his career at Sharp in 1975, where he worked for ten years in the areas of costs and budgets, strategic planning and marketing.

In 1985, he was hired by Microsoft, occupying different positions, founding, in 1989, Microsoft Brazil and, in 1992, Microsoft Chile.

In 2001, he took over as director of corporate strategy at Microsoft Latin America, leaving the company in 2003.

He is currently a businessman in the agribusiness sector. Founding partner of Invixx Investimentos and partner of Indústria Brasileira do Peixe.

Sidney Victor da Costa Breyer

Independent member of Americanas’ board and member of the company’s audit committee.

Between 1999 and 2001, he was a professor of digital marketing at FGV-RJ. In recent years, he served as CEO of Aglog Datacenters, CEO of Aggir Capital, chairman of the board of Yenzah Cosméticos and board member of companies such as Cultura Inglesa, Brazil Brokers, Eleva Educação and Gera Venture Capital. Founder and maintainer of Associação Potencial Institute.

Vanessa Claro Lopes

Independent member of Americanas’ board and member of the company’s audit committee. She is also coordinator of the audit committee and an independent member of Light’s board of directors.

With more than 20 years of professional experience, she was chairman of the fiscal council of Via Varejo, director of the Corporate Internal Audit of the TAM Group and responsible for the audit teams of the mobile telephony companies of the Telefônica Group.

Currently, she is an independent member of the board of directors and of the audit and ethics committee of Afya Educacional, coordinator of the audit committee of Tegma, member of the audit, risks and ethics committee of Embraer and of the fiscal councils of Cosan, Comgás and Cosan Logística .

Joao Guerra Duarte Neto

Interim CEO until 2024. Statutory director of Americanas since 2013. He joined Lojas Americanas in 1991 as a planning analyst in the financial area. In 1995, he was promoted to financial coordinator, a role he held until 1998 when he became head of the technology department.

José Timotheo de Barros

Vice President of physical stores, logistics and technology. She joined Lojas Americanas in 1996 in the Operations area. In 1997, he became Planning Manager, a position he held until 1999 when he became Logistics Manager at Americanas.com.

He led the integration process of Shoptime in 2005 and the merger with Submarino in 2006. He was CFO of B2W Digital and Lojas Americanas. He took over B2W’s Operations Board from 2011 until 2018, when he became CEO of Let’s, the logistics and distribution platform of Lojas Americanas and B2W Digital.

Anna Christina Ramos Saicali

Founder and CEO of Ame Digital since its creation in 2019. She joined the Company in 1997, where she worked in the areas of technology and people, with highlights: structuring the technological platform, creating Americanas.com and implementing the model of organizational structure. She was a statutory director of both areas and CEO of Americanas.com. Responsible for the acquisition of Shoptime in 2005 and for the merger with Submarino in 2006, which resulted in the creation of B2W Digital in 2007, she headed the company as CEO until 2018 and chairman of the board of directors until 2021.

Marcio Cruz Meirelles

CEO of Digital Platform. He joined Lojas Americanas in 1994 in the Operations area. In 1999, he took over the Loss Control and Prevention area, where he worked until 2002. In 2003, he led the project to create Americanas Express, and opened the first store of this model. In 2004, he took over the Finance area as Superintendent, where he remained until 2007. In 2007, he led the acquisition and integration process of Blockbuster. In 2009, he took over the Commercial and Marketing Directorate. From 2011 to 2018, he served as Commercial Director at B2W Digital. He was CEO of B2W until 2021.
