(News Bulletin 247) – Erytech and Pherecydes Pharma announced on Monday that a shareholder had decided to take legal action to obtain the postponement of the general meeting scheduled for June 23 in order to ratify their merger project.
The legal proceedings initiated by Akkadian Partners, shareholder of Erytech with 5% of the capital, would aim in particular to obtain the postponement of the vote of certain resolutions of the GA so that the shareholders cannot decide on the merger project.
According to Erytech, Akkadian is also requesting the appointment of a legal expert whose mission would be to review the terms of the merger.
In a press release, the biopharmaceutical company judges that the legal action taken by Akkadian Partners is part of a “campaign of destabilization” carried out against the company.
Erytech claims to want to obtain the rejection of this legal action which it considers to be unfounded and thus allow its shareholders to vote on the merger at the end of the month.
In a letter published last month, Akkadian had denounced a ‘characterized abuse of power’ on the part of the management of Erytech with the active complicity of a group of shareholders of Pherecydes, highlighting the ‘total absence ‘ value of the contribution in kind of the Pherecydes shares.
