OTE announced that it has signed a memorandum of cooperation with Digi Romania and Vodafone Romania for the sale of its subsidiary in Romania.

As the Telecommunications Organization of Greece S.A. states in a relevant announcement. (“OTE”), following the announcement from 27.05.2024 regarding the possible sale of the percentage it holds in Telekom Romania Mobile (“TKRM” or “Company”), announces that, following the decision of Mr. Adrian Tomșa to retire , OTE has started negotiations for the sale of TKRM with Digi Romania SA (“Digi”) and Vodafone Romania SA (“Vodafone”).

The parties have signed a memorandum of cooperation (MoU) and are in the process of submitting an application for approval to the relevant Romanian authorities (RCC, FDI, ANCOM).

The MOU provides that certain assets of TKRM will be acquired by Digi, while the remaining assets and the Company will be acquired by Vodafone Romania.

Completion of the transaction is subject to the signing of the Share Purchase Agreement and transaction documentation, as well as regulatory approvals.

According to the law, OTE will immediately make the necessary announcements to the investing public, if and when the conditions are met.
