Alpha Services and Holdings, 100% parent of Alpha Bank (hereinafter the “Company”) announced that during today’s meeting of its Board of Directors it was decided to start the merger process, by virtue of which Alpha Bank S.A. (hereinafter “Alpha Bank”) will proceed with a merger by absorption of the Company, (hereinafter the “Merger”), in accordance with applicable Greek law, including but not limited to Law 4601/2019 on corporate transformations and of article 16 of Law 2515/1997 on the transformations of credit institutions, as applicable (hereinafter the “Greek Legislation of Corporate Transformations”).

Pursuant to the provisions of the Greek Corporate Transformations Legislation and subject to receipt of all necessary supervisory and corporate approvals, upon completion of the Merger, Alpha Bank will retain its license as a credit institution and will become the legal successor to all the assets and liabilities of the Company. Prior to the completion of the Merger the shares of Alpha Bank, the absorbing company, will be listed on the Athens Stock Exchange, and upon completion of the Merger they will be awarded to the Shareholders of the Company in exchange for the shares they hold in the Company.

Additionally, according to the same decision of the Board of Directors, December 31, 2023 is defined as the Merger Transformation Balance Sheet Date.

Completion of the Merger is subject to the receipt of all necessary supervisory approvals and consents, including those of the Competent Supervisory Authority and the Ministry of Development, as well as all required corporate authorizations and approvals, including those of the Company’s General Meetings of Shareholders and the Alpha Bank.
