Tesla granted 96 million new shares worth about $ 29 billion to Managing Director Ilon Musk, a move aimed at keeping the wealthy businessman on the steering wheel of the company as he struggles against the judicial decision that annulled his initial agreement.

In 2024, a Delagear court annulled the 2018 MSK compensation package worth more than $ 50 billion, stating that the approval of the Tesla Board of Directors was unfair to shareholders.

Mask appealed in March against the order, claiming that a lower court judge made multiple legal errors in the cancellation of the record compensation.

Earlier this year, Tesla said her board had set up a special committee to examine certain matters of compensation for Musk, without revealing details.

Tesla is at a turning point as Musk, its largest shareholder with 13%, shifts the focus from the promising affordable EV platform to robots and humanoid robots, placing the company more as an artificial intelligence and robotics company than as a car industry.

The compensation is designed to gradually enhance Musk’s voting force, something that he and the shareholders have steadily said that it was the key to keeping him focused on Tesla’s mission, the Special Committee said in the deposition.

“Although we recognize that his business activities, interests and other possible demands for his time and attention are extensive and wide … We are confident that this award will motivate Musk to remain in Tesla,” the Commission said in a regulatory deposit on Monday.

The shares are only guaranteed if Musk remains in the role of a basic executive by 2027. They also come with a five -year retention period, in addition to covering tax payments or purchase price.

Musk has to pay Tesla $ 23.34 per share, which is equal to the exercise price per share of the CEO Award 2018, the company said in Monday’s deposition.
